RESPONSIBILITIES Acquisitions (of customer bases or entities): a) Initial due diligence and valuation models. b) Assessment of funding capability; research of funding sources; cash flow modelling for funders as required, in conjunction with the FC. c) Assessment of tax implications of acquisitions. d) Heads of terms negotiations. e) Preparation of DD checklist. f) Financial and operational DD. g) SPA negotiations and development. h) Integration of acquired company/base into our client, including employment, admin, operational, financial, all in conjunction with relevant our client`s managers/directors. i) Establish ongoing reporting mechanisms in conjunction with FC and FD. j) Managing any earn out calculations (one in place currently). k) Managing the integration of new subsidiaries into existing operating companies if appropriate. l) All in association/conjunction with the board and, in particular, the FD, respective responsibilities dependent on activity and resource at the time...View full job description
